These Service Terms are the software contract between easyAI LLC, a Pennsylvania limited liability company, and the business (the client) that uses ezRo (also written ezRo.bot or ezro.bot). ezRo is a product of easyAI LLC. It is not a separate legal entity.
easyAI LLC sells B2B software: an AI receptionist, a client portal, marketing and growth tools, and other AI software. Each product goes live when the client enables it and completes its setup.

The client must be a business. The person who accepts these terms must be authorized to bind that business. The client's customers buy from the client, not from easyAI LLC.
While the account is active, easyAI LLC gives the client a limited, non-exclusive, non-transferable right to use the software for the client's own business. easyAI LLC owns the software. The client owns the business and end-customer data it provides. The client may not resell, copy, reverse engineer, or use the software to build a competing product.
The client may use the software only for lawful business purposes. The client must not abuse authentication, messaging, or APIs, attempt unauthorized access, or send unlawful or unsolicited marketing through a channel that requires consent the client does not hold. The client is responsible for its account, its instructions, its relationship with end customers, and the accuracy and legality of the data and content it provides.
Rates, trial periods, billing timing, usage measures, and caps are shown in the published portal price list. A signed order may state different terms and controls if it conflicts with the price list.
A product's trial or paid service period starts when the client turns that product on. Monthly products bill in advance for each opened monthly period. Usage products bill in arrears for measured results during the period, subject to the price list.
The client authorizes easyAI LLC to charge the payment method on file when an invoice is due. The client must keep its billing and payment information accurate. Failure to collect payment does not waive the amount due.
The client may turn a product off at any time. Turning a product off stops later service periods. Charges for an opened period and measured usage already provided remain due. Turning a product off during its trial creates no charge for that trial. Turning a product back on starts a new service cycle.
The account owner may close the account through the portal. Closing the account stops future service but does not cancel charges already incurred or other obligations that survive under these terms.
Except where required by law, charges are non-refundable. easyAI LLC may issue a credit or refund when paid software was materially unavailable because of easyAI LLC.
Published rates exclude tax. easyAI LLC adds taxes it is required to collect, based on the client's billing information, and the client pays those taxes in addition to the published rates. The client is responsible for taxes that easyAI LLC is not required to collect, excluding taxes on easyAI LLC's income.
Some features depend on systems the client connects, including POS, phone, and Telegram. Those providers' terms apply. easyAI LLC is not responsible for outages or data handling on those systems outside its control.
easyAI LLC provides software. The client operates its own business and sells its own goods and services. easyAI LLC does not sell those goods or services and does not take the client's customer payments for them. The client's customer relationships, obligations, complaints, and payments stay with the client.
The software and AI-generated output may be inaccurate, incomplete, or unavailable. They are not legal, tax, or other professional advice and do not replace the client's judgment.
To the fullest extent permitted by law, the software is provided as is and as available. easyAI LLC disclaims all express and implied warranties, including merchantability, fitness for a particular purpose, non-infringement, accuracy, and uninterrupted or error-free operation.
To the fullest extent permitted by law, easyAI LLC is not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, goodwill, or data. easyAI LLC's total liability arising from the software or these terms will not exceed the fees the client paid easyAI LLC during the twelve months before the event giving rise to the claim. These limits do not apply where the law does not permit them.
The client will defend and indemnify easyAI LLC against third-party claims, damages, and reasonable costs arising from the client's data, content, instructions, end-customer relationships, failure to obtain required consent, or violation of these terms or applicable law.
Pennsylvania law governs these terms, without regard to conflict-of-law rules. The state courts in Chester County, Pennsylvania, and the federal courts serving that county have exclusive jurisdiction, and each party consents to that jurisdiction and venue.
These terms, the published price list, the Privacy Notice, and any signed order are the entire agreement about the software. A signed order controls over these terms; these terms control over the price list. An invoice does not amend this agreement.
Payment obligations, ownership, warranty and liability limits, indemnity, and records retained for legal duties survive account closure.
If a provision is unenforceable, the remaining provisions stay in effect. A failure to enforce a provision is not a waiver. easyAI LLC may assign these terms to a successor to its business. The client may not assign them without easyAI LLC's written consent.
This product is software. There is no physical-goods return policy.
easyAI LLC may update these terms prospectively. The Last updated date above will change, and easyAI LLC will provide notice of material changes through the portal or the client's account contact. Continued use after the stated effective date means the client accepts the revised terms.
